Agreement to Terms
By accessing or using the services provided by Flowence Media ("Company", "we", "us", or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.
These Terms apply to all visitors, clients, and others who access or use our services at flowence-media.com.
Services
Flowence Media provides digital marketing and advertising services including but not limited to:
- Paid advertising strategy and management (Meta, TikTok, Google Ads)
- AI-generated UGC (User Generated Content) ad creation
- E-commerce growth consulting for influencer brands
- Campaign performance reporting and optimization
We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice.
Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information when engaging our services
- Grant us necessary access to advertising accounts, platforms, and materials
- Ensure all content you provide is legally owned or licensed by you
- Make timely payments as agreed upon in your service agreement
- Communicate honestly about your business, products, and goals
Payment Terms
Payment terms are outlined in your individual service agreement or proposal. By engaging our services you agree to:
- Pay all fees as specified in your service agreement
- Provide valid payment information and authorize charges
- Understand that ad spend budgets are separate from service fees and billed directly by the ad platforms
- Accept that refunds are evaluated on a case-by-case basis
Late payments may result in suspension of services. Flowence Media reserves the right to charge interest on overdue balances.
Results Disclaimer
While we work diligently to deliver strong advertising results, Flowence Media does not guarantee specific outcomes, revenue figures, or return on ad spend (ROAS). Digital advertising performance is influenced by many factors outside our direct control including market conditions, platform algorithm changes, and product-market fit.
Any case studies, examples, or results shared on our website represent past performance and are not guarantees of future results.
Intellectual Property
All creative work, strategies, reports, and materials produced by Flowence Media remain our intellectual property until full payment is received. Upon full payment, ownership of deliverables transfers to the client as agreed in writing.
You may not reproduce, distribute, or use our proprietary methods, frameworks, or processes without written consent.
Confidentiality
Both parties agree to keep confidential any proprietary business information shared during the course of the engagement. This includes business strategies, financial data, client lists, and any information marked as confidential.
This confidentiality obligation survives the termination of our working relationship.
Limitation of Liability
To the fullest extent permitted by law, Flowence Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or revenue, arising out of or related to your use of our services.
Our total liability to you for any claims arising under these terms shall not exceed the total fees paid by you to us in the three months preceding the claim.
Termination
Either party may terminate the service agreement with written notice as specified in the individual contract. Upon termination:
- All outstanding invoices become immediately due
- We will provide a final performance report and handover
- Access credentials and assets will be returned to the client
- Any work in progress will be delivered in its current state
Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the United States. Any disputes arising under these terms shall be resolved through binding arbitration or in the appropriate courts of the United States.
Changes to Terms
We reserve the right to update these Terms at any time. We will notify active clients of significant changes via email. Continued use of our services after changes constitutes acceptance of the new terms.
